These Terms of Use govern your access to and use of the Sophia platform, websites (sophiawomen.com and sophiawomen.ai), digital courses, AI money coaching application, and all related services (collectively, the “Services”) operated by Organic Raspberry Pte. Ltd. (UEN: 202297027Z), trading as “Sophia”.

1. Eligibility

You must be at least 18 years of age to use our Services.

2. Account Registration

• Provide accurate, complete, and current information during registration

• Maintain the security of your password and accept responsibility for all activity under your account

• Notify us immediately at [email protected] if you suspect unauthorised access

3. Nature of Our Services — No Financial Advice

IMPORTANT: Sophia provides financial education and informational content only. Neither our AI money coaching feature nor our human coaches provide, and should not be construed as providing:

• Regulated financial advice, investment advice, or personal recommendations within the meaning of applicable law in any jurisdiction

• Legal, tax, or accounting advice

• An inducement to make any financial decision or transaction

• A substitute for advice from a licensed and regulated financial adviser

Human coaches: Sophia’s human coaches are educators and facilitators, not licensed or regulated financial advisers, planners, or investment professionals. They do not hold regulatory licences from the Monetary Authority of Singapore (MAS), the Financial Conduct Authority (FCA), the Australian Securities and Investments Commission (ASIC), the Securities and Futures Commission (SFC) in Hong Kong, or any other financial regulatory body. Their guidance is educational in nature only and does not constitute regulated financial advice under any applicable law.

AI coaching: AI-generated responses are produced automatically based on information you provide. They are for educational and informational purposes only and have not been reviewed or approved by a regulated financial professional before being delivered to you.

You expressly acknowledge that:

• No coach (human or AI) on the Sophia platform is acting as your financial adviser

• You will not make financial decisions solely on the basis of guidance received through Sophia

• You should always seek independent advice from a licensed and regulated professional before making any significant financial decision

Sophia, Organic Raspberry Pte. Ltd., and its coaches, employees, and agents accept no liability whatsoever for any financial loss, damage, or consequence arising from decisions made in reliance on content or guidance provided through our Services, whether delivered by AI or by a human coach.

4. Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable licence for personal, non-commercial educational use. You agree not to:

• Use the Services for any unlawful purpose

• Reproduce or distribute content without our written consent

• Use bots, scrapers, or automated tools to access content

• Reverse engineer any software component of the Services

• Impersonate any person or misrepresent your affiliation

• Upload content that is defamatory, discriminatory, harmful, or infringes third-party rights

5. B2B / Corporate Access

Where you access Sophia through your employer (‘Corporate Partner’), your access is subject to these Terms, any additional terms agreed with the Corporate Partner, and the Corporate Partner’s own internal policies. We may share anonymised, aggregated usage data with Corporate Partners as described in our Privacy Policy.

6. Intellectual Property

All content on the Sophia platform is owned by or licensed to Organic Raspberry Pte. Ltd. All rights are reserved. Sophia and related marks are trademarks of Organic Raspberry Pte. Ltd. Nothing in these Terms grants you any right to use our trademarks.

7. Payments and Refunds

Sophia offers monthly and annual subscription plans. All fees are charged in advance at the start of each billing period.

Monthly subscriptions: You may cancel at any time. Cancellation takes effect at the end of the current billing period. Monthly subscription fees are non-refundable for the period in which cancellation occurs.

Annual subscriptions: New subscribers may cancel and receive a full refund within 14 days of the date of purchase, provided the request is made to [email protected]. After 14 days, annual subscription fees are non-refundable; however, access to the Services will continue until the end of the paid subscription period.

UK subscribers — statutory cooling-off right: If you are based in the United Kingdom, you have a legal right to cancel within 14 days of purchase under the Consumer Rights Act 2015. If you request immediate access to the Services at the point of purchase and confirm that you understand this waives your right to cancel, your 14-day cancellation right will be lost once you begin using the Services.

Renewal: Subscriptions renew automatically at the end of each billing period. You will receive advance notice of renewal. To avoid being charged for a subsequent period, you must cancel before your renewal date.

Corporate / B2B subscriptions: Payment and refund terms for corporate clients are governed by the relevant service agreement or order form between Sophia and the Corporate Partner.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND ACCURACY.

We do not warrant that guidance provided by human coaches or AI is accurate, complete, suitable for your personal circumstances, or free from error. Human coaches are educators only and their guidance carries no guarantee of outcome. AI-generated responses may contain inaccuracies and should not be acted upon without independent verification.

We reserve the right to suspend, withdraw, or modify the Services, including access to human coaches, at any time without notice.

9. Limitation of Liability

• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or SGD 100, whichever is greater

• We are not liable for indirect, incidental, consequential, special, or punitive damages

• We are not liable for financial loss arising from decisions made in reliance on our content

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded under Singapore law.

10. Modifications

Material changes will be notified at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

11. Termination

We may suspend or terminate your access at any time for breach of these Terms. You may terminate your account at any time by contacting us.

12. Notice for California Users

Under California Civil Code Section 1789.3: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted at 1625 North Market Blvd., Sacramento CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Singapore. Disputes shall first be submitted to mediation at the Singapore Mediation Centre. If unresolved, disputes shall be determined by the courts of Singapore.

Nothing in this clause affects any mandatory rights you may have under the laws of the country where you are ordinarily resident.
